Terms of Service

1. Agreement
By accessing or using PayProof ("Service"), you agree to be bound by these Terms of Service. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these terms.
2. Description of Service
PayProof is a Software-as-a-Service platform that helps companies comply with the EU Pay Transparency Directive (2023/970) by providing tools for job architecture management, pay gap analysis, automated reporting, and remediation planning.
3. Account Registration
You must provide accurate and complete information during registration. You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account. You must notify us immediately of any unauthorized use.
4. Free Trial
We offer a 14-day free trial with limited features. No credit card is required. At the end of the trial, you must subscribe to a paid plan to continue using the Service. Your data will be preserved for 30 days after trial expiration.
5. Subscription and Payment
Paid plans are billed monthly or annually as selected. Payments are processed by Mollie. Prices are in EUR and exclude VAT where applicable. We reserve the right to change pricing with 30 days' notice.
If payment fails, we provide a 7-day grace period. After 7 days of failed payment, your account may be suspended. Your data will be preserved for 30 days after suspension.
6. Cancellation and Refunds
You may cancel your subscription at any time through your account settings. Monthly subscriptions end at the end of the current billing period. Yearly subscriptions are non-refundable except within the first 14 days of purchase.
7. Your Data
You retain all ownership rights to the data you upload to PayProof. We process your data only to provide the Service and as described in our Privacy Policy. You are responsible for the accuracy and legality of the data you upload.
You grant PayProof a limited license to process, store, and display your data as necessary to provide the Service.
8. Data Processing Agreement
When you upload employee data, PayProof acts as a data processor under GDPR. A Data Processing Agreement (DPA) is available upon request for all paid plans and is included automatically with Enterprise plans.
9. Acceptable Use
You agree not to:
- Use the Service for any unlawful purpose
- Upload data you are not authorized to process
- Attempt to gain unauthorized access to other accounts
- Reverse engineer, decompile, or disassemble the Service
- Use the Service to develop a competing product
- Exceed rate limits or use automated tools to scrape data
10. Service Availability
We target 99.9% uptime but do not guarantee uninterrupted service. Scheduled maintenance will be announced at least 24 hours in advance. We are not liable for downtime caused by circumstances beyond our control.
11. Intellectual Property
PayProof and its original content, features, and functionality are owned by PayProof BV. Our trademarks and trade dress may not be used without prior written consent.
12. Limitation of Liability
To the maximum extent permitted by law, PayProof shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues. Our total liability shall not exceed the amount paid by you in the 12 months preceding the claim.
PayProof provides compliance tools but does not provide legal advice. You are responsible for ensuring your use of PayProof meets your legal obligations under the EU Pay Transparency Directive and any applicable national legislation.
13. Indemnification
You agree to indemnify PayProof against any claims, damages, or expenses arising from your use of the Service, your violation of these terms, or your violation of any third-party rights.
14. Governing Law
These terms are governed by the laws of Belgium. Any disputes shall be resolved by the courts of Brussels, Belgium.
15. Changes to Terms
We may update these terms from time to time. Material changes will be communicated via email at least 30 days before they take effect. Continued use of the Service after changes constitutes acceptance.
